1ACCEPTANCE OF TERMS

These Terms of Service ("Terms") govern your access to and use of the Compstash website at compstash.com and the Compstash application at app.compstash.com (together, the "Service"), operated by Compstash LLC ("Compstash," "we," "our," or "us").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you and that entity.

2ACCOUNTS AND ELIGIBILITY

To use Compstash, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. The Service is intended for commercial real estate professionals and is not offered for personal or consumer use.

Compstash allows for multiple users to share a single account. In this case, a single account is designated as the Owner of the contract and is responsible for all charges. The Owner has permission to add or remove additional accounts from their account through the account management portal on compstash.com. Data submitted remains under the control of the Owner’s account at all times. If the Owner’s account is terminated, all associated accounts will be terminated, subject to Compstash’s data retention policy in section 09.

You agree to notify us immediately at support@compstash.com if you become aware of any unauthorized access to your account.

3SUBSCRIPTIONS AND BILLING

Plans and pricing

Compstash is offered on a subscription basis, billed monthly. Current pricing is listed on our Pricing Page. We may change pricing for future billing periods, but any changes will not affect your current subscription period.

Free trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

Payment

Payments are processed by Stripe. By providing payment information, you authorize Compstash to charge the applicable subscription fees to your payment method on a recurring basis. All fees are stated in U.S. dollars and are exclusive of any applicable taxes.

Renewals and cancellation

Subscriptions automatically renew at the end of each billing period unless you cancel. You can cancel anytime from your account settings. Cancellation takes effect at the end of your current billing period.

Refunds

Subscription fees are non-refundable except where required by law. We do not provide refunds for partial billing periods or unused time.

4ACCEPTABLE USE

You agree to use the Service only for lawful commercial real estate purposes and in accordance with these Terms. You will not:

• Upload or distribute comp data that you do not have the right to use.
• Attempt to reverse engineer, decompile, or otherwise extract the source code of the Service.
• Resell, sublicense, or otherwise commercially exploit access to the Service without our written consent.
• Use the Service to violate any applicable law, regulation, or third-party rights.
• Introduce malware, viruses, or other harmful code to the Service.
• Attempt to gain unauthorized access to other users' accounts or data.
• Use automated systems (bots, scrapers, crawlers) to access the Service without our prior written permission.
• We reserve the right to suspend or terminate your access if we reasonably believe you have violated this section.

5YOUR DATA AND CONTENT

You retain full ownership of all comp data and other content you upload to Compstash. Your comps are yours, and nothing in these Terms transfers ownership of your data to us.

You grant Compstash a limited, non-exclusive, royalty-free license to host, store, process, and display your data solely for the purpose of providing the Service to you and the members of your company you authorize.

We do not sell, share, trade, or disclose your comp data to any third party. See our Privacy Policy for full details on how we handle your information.

You are responsible for the accuracy, legality, and appropriateness of all data you upload, and for ensuring you have the right to use and share that data within your organization.

6INTELLECTUAL PROPERTY

Compstash, including all software, design, content, trademarks, logos, and related intellectual property, is the exclusive property of Compstash LLC and its licensors. These Terms do not grant you any ownership rights in the Service.

You may not copy, modify, distribute, sell, or create derivative works of any part of the Service except as expressly permitted in these Terms.

Feedback, suggestions, or ideas you provide to us about the Service may be used by Compstash without obligation or compensation.

7THIRD-PARTY SERVICES

The Service may integrate with or rely on third-party services, such as Stripe for payment processing. Your use of these third-party services is governed by their own terms and privacy policies, and Compstash is not responsible for their performance or practices.

Any links to third-party websites from the Service are provided for convenience only. We do not endorse or assume responsibility for the content of any linked site.

8SERVICE AVAILABILITY

We work hard to keep Compstash available and performant, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We may modify, suspend, or discontinue features of the Service at any time. Where reasonable, we will provide advance notice of material changes that affect your use.

9TERMINATION

By you

You may cancel your subscription and terminate your account at any time through your account settings or by contacting support@compstash.com.

By us

We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or engage in conduct that we reasonably determine poses a risk to Compstash or other users.

Effect of termination

On termination, your right to access the Service ends. You may request an export of your comp data before your account is closed. In accordance with our Privacy Policy, we will permanently delete your data within 90 days of account termination unless a shorter timeline is requested.

10DISCLAIMERS

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied.

To the fullest extent permitted by law, Compstash disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any data you store will be accurate or reliable. Compstash is a tool for managing your comp data; it is not a substitute for professional judgment in commercial real estate transactions.

11LIMITATION OF LIABILITY

To the fullest extent permitted by law, Compstash and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid to Compstash in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Compstash LLC and its affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, your violation of any law or third-party right, or the content you upload to the Service.

13GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

14CHANGES TO THESE TERMS

We may update these Terms from time to time. When we do, we will post the updated Terms on this page and revise the effective date. For material changes, we will provide reasonable advance notice, such as by email or a notice within the Service.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.
